The first time I saw it I didn't know I could kill it a few months ago! How rare or not rare is it to see it, kill it, find it? Anybody know?

Well, Sam (heh, couldnt help myself there), I've seen it a couple of times on Live, but each time it was too swift for me to gather a proper team to take it down. It is a GM. I dont know if it has been fixed with Issue 9 or not as far as it's spawn rate goes. You will need a decent team to take it on because it is the grandaddy of GM's, IMHO. It spawns Level 54 Bane Spider troops on landing and while airborne it will launch Cruise Missiles that are pretty darn tough. Plus it is Shielded and I think has guns of some sort. All I've seen is a bright light and heard an earth-shattering kaboom.
Yeah, I've seen it and never walked away alive yet. But some day...
BTW, it spawns only at night from the 'red window' in the tower in Grandville. It follows a path (seemingly random from what Ive heard) landing in the Gutter and sometimes deploying the Bane Spiders. While it is flying it is shielded but drops shields when landed. There are those who say that it will go to the beach near the blockhouse/pillbox with the Exploration Badge in north-east Grandville and land for a time, but it will then take off and head off towards the Fab and despawn in the air. It is pretty fast too. I would suggest that if you see it, you immediately put out a message on the Request channel that the Flier is up and form a team. There is no time to waste because she is a goer (nudge nudge, knowhatImean). Beyond that I'd say do a search on the web for anyone who may have posted info on taking it down since they have done it, but not often becaus eof the broken spawn rate.

I have something to add to this post.I've seen the Arachnos Flier all the time in Mercy and I was wondering if that is also a GM and can be attacked.

No. It is classified as a transport and you cannot attack it.

I'm not much of a badge hunter but i've been on the watch the last month or so for the flier. I have never seen it until today. I was on my way to MI this mourning at 5:05CST when I spotted the flier heading towards the fab. I couldnt screen shot it quick enough. Sorry for no pic, but seen it this mourning on the Guardian server @ 5:05CST.
